1. Introduction

Welcome to www.millbanksports.com (hereinafter referred to as the "Website"), operated by Millbank Sports Limited (hereinafter referred to as "we," "us," "our," or the "Company"). By accessing, browsing, or placing an order through the Website, you (hereinafter referred to as "you," "your," or the "Customer") acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this document (hereinafter referred to as the "Terms"). Should you disagree with any provision contained herein, you must discontinue use of the Website immediately.

The Terms constitute a legally binding agreement between the Customer and Millbank Sports Limited, governing all transactions, interactions, and use of the Website. We reserve the right to amend, modify, or update the Terms at any time, in accordance with Section 15 of this document. Your continued use of the Website following any such amendment shall constitute acceptance of the revised Terms.

2. About Us

Millbank Sports Limited is a company registered in the United Kingdom. Our principal commercial activity involves the sale of padel rackets and sports-related equipment through our online retail platform hosted on Squarespace. As the business develops, additional product categories, including sports equipment and athletic apparel, may be introduced to the Website's catalogue.

3. Definitions and Interpretation

Throughout these Terms, the following definitions shall apply unless the context requires otherwise:

  • "Consumer": Any natural person who is acting for purposes that are wholly or mainly outside that individual's trade, business, craft, or profession, as defined under Section 2(3) of the Consumer Rights Act 2015.

  • "Contract": The legally binding agreement formed between the Customer and the Company upon our dispatch of an Order Confirmation, subject to these Terms.

  • "Goods": All products listed for sale on the Website, including padel rackets and any other sporting equipment or apparel made available from time to time.

  • "Order": A request submitted by the Customer through the Website to purchase Goods.

  • "Order Confirmation": The written communication (sent via email) from the Company to the Customer confirming acceptance of an Order and formation of the Contract.

  • "Working Day": Any day other than a Saturday, Sunday, or public holiday in England and Wales.

4. Eligibility and Account Responsibilities

By placing an Order on the Website, you warrant and represent that you are at least 18 years of age or, where applicable, have obtained the consent of a parent or legal guardian. You further warrant that all information provided during the ordering process is accurate, complete, and current. We reserve the right to refuse or cancel any Order where reasonable grounds exist to believe that false or misleading information has been submitted, or where an Order appears to involve fraudulent activity.

Where the Website requires registration or the creation of a user account, you are solely responsible for maintaining the confidentiality of your login credentials. Any activity conducted under your account shall be deemed to have been authorised by you, unless you have notified us of unauthorised access without undue delay.

5. Products and Descriptions

All product descriptions, images, and specifications published on the Website are provided in good faith and represent an accurate depiction of the Goods at the time of listing. Notwithstanding the foregoing, slight variations in colour, dimensions, or appearance may occur due to differences in screen resolution, photographic lighting, or manufacturing tolerances. Such variations shall not constitute a material breach of the Contract, provided the Goods substantially conform to the description published at the time of purchase.

We endeavour to maintain adequate stock levels for all listed products; however, availability is subject to change without prior notice. In the event that a product becomes unavailable following submission of an Order, we shall notify you promptly and offer either a full refund or an alternative product of equivalent value, at your election.

 

 

6. Ordering Process and Contract Formation

Placing an Order through the Website constitutes an offer by the Customer to purchase the selected Goods in accordance with these Terms. An Order does not, by itself, give rise to a binding contract. The Contract between you and the Company is formed only upon our dispatch of an Order Confirmation to the email address provided during checkout.

We retain the right to decline or cancel any Order for reasons including, but not limited to, product unavailability, pricing errors, suspected fraudulent activity, or failure to verify payment details. In the event of cancellation by the Company, a full refund of any sums paid shall be processed without undue delay.

All Orders are subject to acceptance at our sole discretion. Where an Order comprises multiple items, we may accept and dispatch portions of the Order separately, in which case a distinct Contract shall be formed for each dispatched consignment.

7. Pricing, Payment, and Taxation

All prices displayed on the Website are quoted in the applicable currency and are inclusive of Value Added Tax ("VAT") at the prevailing rate, unless otherwise stated. Delivery charges, where applicable, are calculated separately and displayed to the Customer prior to completion of the Order.

We make every reasonable effort to ensure that pricing information is accurate; however, errors may occasionally occur. Where a pricing error is identified after an Order has been placed, we shall notify you as soon as reasonably practicable and provide the option to confirm the Order at the corrected price or cancel the Order for a full refund. Under no circumstances shall the Company be obligated to fulfil an Order at an incorrect price.

Payment must be made in full at the time of placing the Order, through one of the accepted payment methods displayed at checkout. The Company processes all payments through secure, encrypted payment gateways. We do not store or have direct access to your full payment card details.

8. Delivery

Delivery timescales provided on the Website or in any Order Confirmation are estimates and shall not be treated as guaranteed dates. Under Regulation 42 of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 ("CCR 2013"), Goods shall be delivered without undue delay and, in any event, within 30 days of the date on which the Contract is formed, unless an alternative delivery date has been expressly agreed upon.

Risk in the Goods shall pass to the Customer upon delivery. Ownership and title to the Goods shall not transfer to the Customer until the Company has received full payment for all sums due in respect of the Goods, including any applicable delivery charges.

Where delivery is delayed beyond the agreed or statutory timeframe, you may contact us at contact@millbanksports.com to arrange a revised delivery date or, where the delay is material, to cancel the Order and receive a full refund in accordance with your statutory rights under the Consumer Rights Act 2015.

9. Right of Cancellation (Cooling-Off Period)

Under the CCR 2013, you have the right to cancel your Order within 14 calendar days from the day after delivery of the Goods (the "Cooling-Off Period"), without providing any reason for cancellation. If the Company fails to inform the Customer of the right to cancel at the appropriate time, the cancellation period extends to 12 months from the end of the original 14-day period.

To exercise the right of cancellation, you must inform us of your decision by sending a clear written statement to contact@millbanksports.com prior to the expiry of the Cooling-Off Period. Upon cancellation, you are required to return the Goods to us within 14 calendar days of notifying us of your intention to cancel. The Goods must be returned in their original condition, unused, and in the original packaging where possible. The cost of returning the Goods shall be borne by the Customer, unless the Goods are faulty or misdescribed.

10. Refunds and Returns Policy

In addition to your statutory cancellation rights under Section 9 above, Millbank Sports Limited offers a 30-day return policy commencing from the date on which the Goods are delivered to you. The provisions set out below govern the eligibility, procedures, timelines, and exclusions applicable to all refund requests.

10.1 Eligibility Criteria

A Customer seeking a refund must demonstrate that the Goods were purchased directly through the Website and that the return request falls within the 30-day return window. The Goods must be unused, undamaged, and returned in their original packaging with all accompanying accessories, labels, and documentation intact. Proof of purchase, such as an Order Confirmation email or payment receipt, must be provided at the time of the return request.

 

 

10.2 Procedural Requirements and Timelines

To initiate a return, you must contact us at contact@millbanksports.com within 30 days of delivery, stating your Order number and the reason for the return. Upon receipt and inspection of the returned Goods, we shall process the refund within 14 calendar days. Refunds will be credited to the original payment method used at the time of purchase.

In accordance with Regulation 34 of the CCR 2013, the Company must reimburse all payments received from the Consumer, excluding any supplementary delivery costs arising from the Customer's choice of a non-standard delivery method. Where a deduction is applied owing to diminished value resulting from handling beyond what is necessary to establish the nature, characteristics, and functioning of the Goods, the Customer shall be notified of the specific deduction amount prior to processing.

10.3 Exclusions

Certain categories of Goods are excluded from the returns and refund policy. Refunds shall not be issued in respect of:

  • Personalised or Custom-Made Goods: Items that have been personalised, custom-built, or modified to the Customer's specifications, unless such items are faulty or not as described.

  • Goods Damaged by the Customer: Items that exhibit damage, wear, or deterioration attributable to misuse, negligence, or failure to follow care instructions provided by the Company.

  • Incomplete Returns: Goods returned without original packaging, accessories, or documentation, where such absence materially affects the resale value of the item.

10.4 Statutory Rights and Consumer Protection

Nothing in this Section shall affect your statutory rights under the Consumer Rights Act 2015. Under Sections 9 to 11 of that Act, Goods supplied must be of satisfactory quality, fit for a particular purpose, and as described. Where Goods fail to meet these statutory standards, you are entitled to the following remedies:

  • Within 30 days of delivery: A full refund for Goods that are faulty, misdescribed, or not fit for purpose.

  • After 30 days but within six months: The right to request a repair or replacement. If the repair or replacement is unsuccessful, you are entitled to a full refund in most cases.

  • After six months: The right to request a repair or replacement, subject to your ability to demonstrate that the fault was present at the time of delivery.

11. Faulty or Misdescribed Goods

Where Goods delivered to you are faulty, damaged upon arrival, or materially differ from the description published on the Website, please contact us at contact@millbanksports.com without delay. We may request photographic evidence or further details to assess the nature of the defect or discrepancy.

Upon confirmation that the Goods are faulty or misdescribed, you shall be entitled to a repair, replacement, or full refund in accordance with Sections 19 to 24 of the Consumer Rights Act 2015. The Company shall bear the cost of return postage for all confirmed faulty or misdescribed items.

12. Copyright Policy and Intellectual Property

All content published on the Website, including but not limited to text, graphics, logos, product images, product designs, trademarks, and software, is the exclusive property of Millbank Sports Limited or its licensors and is protected under the Copyright, Designs and Patents Act 1988 and applicable international intellectual property conventions.

No material from the Website may be reproduced, distributed, modified, transmitted, republished, displayed, or otherwise exploited for any commercial purpose without the prior written consent of the Company. Unauthorised use of any content may give rise to a claim for damages and constitute a criminal offence under applicable legislation.

Product designs, including the design of padel rackets and related sporting equipment developed by the Company, are proprietary. Any reproduction or imitation of such designs, whether in whole or in part, is strictly prohibited and may constitute an infringement of the Company's registered or unregistered design rights under the Registered Designs Act 1949 and Part III of the Copyright, Designs and Patents Act 1988.

Where you believe that any content on the Website infringes upon your intellectual property rights, you may submit a written notice to contact@millbanksports.com providing: (a) identification of the copyrighted work or intellectual property claimed to have been infringed; (b) identification of the material alleged to be infringing and its location on the Website; (c) your contact details; and (d) a statement made in good faith that the use is not authorised by the intellectual property owner.

 

 

13. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Website, any transaction conducted through the Website, or any failure or delay in delivery of Goods. Our total aggregate liability in respect of any claim shall not exceed the total price paid by you for the Goods giving rise to the claim.

Nothing in these Terms shall operate to exclude or limit our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any matter for which it would be unlawful to exclude or restrict liability under the Consumer Rights Act 2015 or any other applicable legislation.

14. Force Majeure

The Company shall not be held liable for any failure or delay in performing its obligations under the Contract where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of government, war, civil unrest, industrial action, disruption to transportation networks, or failures of third-party suppliers or service providers. In the event that a force majeure event persists for a period exceeding 60 calendar days, either party may terminate the Contract by providing written notice, and the Company shall issue a full refund for any undelivered Goods.

15. Amendments to the Terms

Millbank Sports Limited reserves the right to revise, update, or modify these Terms at any time. Amended Terms shall be published on the Website and shall take effect from the date of publication. It is your responsibility to review the Terms periodically. Continued use of the Website after any amendment constitutes acceptance of the revised Terms.

Where an amendment materially affects the rights or obligations of Customers with existing Orders, we shall make reasonable efforts to notify affected Customers by email. Amendments shall not apply retrospectively to Orders placed and confirmed prior to the date of publication of the revised Terms.

16. Dispute Resolution

In the event of a dispute arising out of or in connection with these Terms or any Contract formed hereunder, the parties shall first attempt to resolve the matter amicably through direct negotiation. Any complaint or concern should be directed to contact@millbanksports.com, and we will endeavour to respond within 14 Working Days.

Should direct negotiation fail to yield a satisfactory resolution, either party may seek recourse through an alternative dispute resolution ("ADR") body. The European Commission's Online Dispute Resolution ("ODR") platform, formerly accessible at https://ec.europa.eu/consumers/odr, was officially discontinued on 20 July 2025 pursuant to Regulation (EU) 2024/3228. Consumers residing in the European Union may now access national ADR bodies through the European Commission's Consumer Redress portal at https://consumer-redress.ec.europa.eu/. A directory of recognised dispute resolution entities across EU Member States, Norway, and Iceland is available at https://consumer-redress.ec.europa.eu/dispute-resolution-bodies.

For Customers located in the United Kingdom, a list of certified ADR providers approved by the Chartered Trading Standards Institute is available through the relevant government channels.

Nothing in this Section shall restrict either party's right to bring a claim before the courts of competent jurisdiction.

Such links are provided solely for informational convenience and do not imply any endorsement, affiliation, or approval of the linked website or its content by the Company. Millbank Sports Limited accepts no responsibility or liability for the content, accuracy, availability, or practices of any third-party website. Accessing third-party links is undertaken entirely at your own risk, and you are advised to review the terms and conditions and privacy policies of any external website before providing personal information.

18. Severability

If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from the Terms to the extent of such invalidity or unenforceability. All remaining provisions shall continue in full force and effect, and the parties shall negotiate in good faith to replace the severed provision with a valid and enforceable provision that achieves, to the greatest extent possible, the commercial intent of the original.

19. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any such dispute or claim.

Notwithstanding the foregoing, if you are a Consumer habitually resident in another part of the United Kingdom or in an EU Member State, nothing in this clause shall deprive you of the protection afforded by the mandatory consumer protection provisions of the jurisdiction in which you reside, in accordance with Regulation (EC) No 593/2008 (Rome I Regulation) as retained in UK law.
